Terms of Service

Using Overlap
These terms apply when you access or use Overlap, a scheduling service operated by HOA Turnkey LLC. You must be able to form a binding contract and provide accurate account information. You are responsible for activity under your account and for keeping access credentials secure.
Acceptable use
Do not use Overlap to violate law, infringe rights, send spam, distribute malware, probe or disrupt systems, evade limits, impersonate others, or collect sensitive information without authority. Do not use the service for emergency, clinical, or other high-risk scheduling where a delay or failure could cause harm.
Invitations and participant data
You may invite people only when you have a legitimate relationship or other lawful basis to contact them. Team members must accept an invitation before their availability is included. You are responsible for meeting any notice, consent, retention, school, employment, or organizational requirements that apply to your scheduling activity.
Plans, trials, and billing
Paid plans renew automatically for the billing interval shown at checkout until canceled. Prices, taxes, renewal timing, and the total charge are displayed before purchase. You can manage or cancel a subscription through the billing portal. Unless required by law, charges already incurred are non-refundable. A trial may convert to the stated free plan unless a paid plan is selected.
Your content
You retain ownership of information and branding you submit. You grant Overlap the limited permission needed to host, process, transmit, and display that content to operate the service. You represent that you have the necessary rights to submit it.
Service changes and account action
Features may change as the product improves. We may limit or suspend access to protect users, comply with law, prevent abuse, or address nonpayment. You may export your data and delete your account from the dashboard. Paid subscriptions must be canceled before account deletion.
Disclaimers and liability
The service is provided on an “as is” and “as available” basis to the extent permitted by law. Overlap does not guarantee uninterrupted operation, delivery of every message, or that every calendar provider will remain available. To the extent permitted by law, HOA Turnkey LLC is not liable for indirect, incidental, special, consequential, or lost-profit damages. Total liability for claims relating to the service will not exceed the amount you paid for Overlap during the 12 months before the claim.
Governing law
Arizona law governs these terms, without regard to conflict-of-law rules. Before filing a claim, contact us so we can try to resolve the issue informally. Nothing here limits rights that cannot legally be waived.
